    AGENTRUNTIME DEVELOPER PLATFORM LICENSE

    This Developer Platform License ("License") governs your use of the AgentRuntime developer tools and interfaces, including APIs, software development kits (SDKs), command-line interfaces (CLIs), client libraries, developer documentation, and sample code (collectively, the "Developer Tools") provided by AgentRuntime Labs Ltd ("AgentRuntime," "we," "us," or "our").

    This License is incorporated by reference into, and forms part of, AgentRuntime's Terms of Service (the "Agreement"). By accessing or using the Developer Tools, you acknowledge that you have read and agreed to this License and the Agreement. In the event of a conflict between this License and the Agreement with respect to the use of the Developer Tools, this License shall prevail solely to the extent of the conflict.

    Capitalized terms used but not defined herein have the meanings given in the Agreement.


    1. LICENSE GRANT

    1.1 Scope of License. Subject to your compliance with this License and the Agreement and timely payment of applicable fees, AgentRuntime hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

        (a) access and use the Developer Tools solely for the purpose of developing, testing, and deploying applications, integrations, and automation workflows on or with the AgentRuntime platform ("Authorized Applications");

        (b) incorporate AgentRuntime APIs into Authorized Applications for internal use or distribution to end users in accordance with this License; and

        (c) access and use AgentRuntime's developer documentation solely for reference purposes in connection with building Authorized Applications.

    1.2 No Implied License. No rights are granted to you under this License except as expressly stated herein. All rights not expressly granted are reserved by AgentRuntime.


    2. PERMITTED USES

    Subject to the restrictions in Section 3, you may:

    (a) build and deploy Authorized Applications that call AgentRuntime APIs to access platform functionality;

    (b) integrate AgentRuntime Services into your software products and services;

    (c) make reasonable copies of Developer Tools necessary for development, testing, and deployment activities;

    (d) distribute Authorized Applications to your customers or end users, provided that such distribution complies with this License and does not grant end users any rights in the AgentRuntime platform itself; and

    (e) reference and reproduce limited excerpts of documentation solely as necessary to explain how your Authorized Application interacts with the AgentRuntime platform.


    3. RESTRICTIONS

    You shall not, and shall not permit any third party to:

    (a) Compete. Use the Developer Tools to design, build, or operate a service or product that competes, directly or indirectly, with the AgentRuntime platform or any core feature thereof.

    (b) Redistribute Developer Tools. Copy, redistribute, sublicense, sell, or make the Developer Tools (or any component thereof) available to third parties as a standalone offering, whether or not for commercial gain.

    (c) Create Derivative Works of the Platform. Modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, architecture, or trade secrets of AgentRuntime's platform infrastructure or underlying services.

    (d) Misuse APIs. Use the Developer Tools in a manner that: (i) circumvents usage limits, rate limits, or access controls; (ii) disrupts or degrades platform performance for other users; (iii) violates AgentRuntime's Acceptable Use Policy; or (iv) is inconsistent with the intended purpose of the Developer Tools as described in the Documentation.

    (e) Remove Notices. Remove, obscure, or alter any copyright, trademark, proprietary, or attribution notices included in the Developer Tools or Documentation.

    (f) Misrepresent Relationship. Use AgentRuntime's name, brand, trademarks, or logos in a manner that falsely implies endorsement, sponsorship, or affiliation with AgentRuntime beyond what is expressly permitted under a separate brand guidelines agreement.


    4. API ACCESS AND USAGE LIMITS

    4.1 Rate Limits and Quotas. AgentRuntime may impose request rate limits, concurrent request limits, compute quotas, and other usage limits on your access to the APIs, as specified in the Documentation or your applicable subscription plan. Such limits are necessary to maintain platform stability and ensure equitable access for all developers.

    4.2 Enforcement. Requests that exceed applicable limits may be rejected, throttled, or result in temporary suspension of API access. Systematic or intentional circumvention of rate limits is a violation of this License.

    4.3 Commercial Use. Certain API usage tiers or features may require a paid subscription plan. Access to the API in excess of any free tier allowances is subject to applicable fees.


    5. API VERSIONING AND CHANGES

    5.1 Versioning. AgentRuntime may release new versions of APIs and Developer Tools from time to time. New versions may be released to introduce new features, improve performance, or address security vulnerabilities.

    5.2 Backward Compatibility. AgentRuntime will use commercially reasonable efforts to maintain backward compatibility for stable API versions. Where a breaking change is required, AgentRuntime will provide advance notice through developer communications and will maintain the prior version for a reasonable deprecation period.

    5.3 Deprecation. AgentRuntime may deprecate API versions or Developer Tool components with reasonable advance notice. Following the end of a deprecation period, deprecated versions may be removed without further notice.

    5.4 No Liability for Changes. AgentRuntime shall not be liable for any costs, damages, or disruption arising from changes to the Developer Tools, provided that AgentRuntime has complied with its applicable notice obligations.


    6. INTELLECTUAL PROPERTY

    6.1 AgentRuntime Ownership. As between the parties, AgentRuntime retains all right, title, and interest, including all Intellectual Property Rights, in and to the Developer Tools, the APIs, the AgentRuntime platform, and all underlying technology, including any improvements or modifications thereto.

    6.2 Your Authorized Applications. As between the parties, you retain ownership of Authorized Applications that you independently develop, provided that such applications do not incorporate AgentRuntime platform code or infrastructure beyond what is accessed through documented API interfaces.

    6.3 Feedback. Any Feedback you provide to AgentRuntime regarding the Developer Tools shall be governed by the Feedback provisions in the Agreement.


    7. THIRD-PARTY COMPONENTS

    Certain Developer Tools may include or depend upon third-party open-source software components. Such components are governed by their respective open-source licenses, which are provided in the applicable Developer Tool package or Documentation. AgentRuntime does not represent that third-party components are free from defects or that their licenses are compatible with all use cases.


    8. NO SUPPORT OBLIGATION

    Unless expressly included in your subscription plan or separately agreed in an Order Form, AgentRuntime has no obligation to provide technical support, maintenance, or updates for the Developer Tools. Developer support resources, including documentation and community forums, are made available as a courtesy and do not constitute a support commitment.


    9. TERM AND TERMINATION

    9.1 Term. This License is effective from the date you first access the Developer Tools and continues until terminated in accordance with this Section or the Agreement.

    9.2 Termination by AgentRuntime. AgentRuntime may immediately revoke your access to the Developer Tools and terminate this License upon written notice if you: (a) materially breach this License or the Agreement and fail to cure such breach within fourteen (14) days of notice; (b) engage in conduct that poses a security risk to the platform or other users; or (c) violate AgentRuntime's Acceptable Use Policy.

    9.3 Effect of Termination. Upon termination of this License: (a) all rights granted herein immediately cease; (b) you must cease all use of the Developer Tools; and (c) you must destroy or return all copies of the Developer Tools in your possession.

    9.4 Survival. Sections 3, 6, and those provisions of the Agreement that by their nature survive termination, shall survive expiration or termination of this License.


    10. DISCLAIMER OF WARRANTIES

    THE DEVELOPER TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. AGENTRUNTIME EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.


    11. LIMITATION OF LIABILITY

    AGENTRUNTIME'S LIABILITY IN CONNECTION WITH THE DEVELOPER TOOLS IS SUBJECT TO THE LIMITATION OF LIABILITY PROVISIONS IN THE AGREEMENT. AGENTRUNTIME SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE DEVELOPER TOOLS.


    12. UPDATES TO THIS LICENSE

    AgentRuntime may update this Developer Platform License from time to time. Updates will be communicated through developer channels or by publication on AgentRuntime's website. Continued use of the Developer Tools after the effective date of any update constitutes acceptance of the revised License.
